Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Thrawn, Inc. ("Thrawn," "we," "us," or "our"), including our website at www.trythrawn.com, platform, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Eligibility

You must be at least 18 years old and authorized to bind the entity on whose behalf you are using the Service. By using the Service, you represent that you meet these requirements.

2. Description of Service

Thrawn provides a managed physician scheduling service for graduate medical education programs. You provide your program's scheduling constraints; Thrawn generates and delivers finished schedules for your team to review and approve. Our services include:

  • Intake and encoding of program scheduling constraints, including rotation requirements, duty hour rules, resident and fellow preferences, and time-off requests
  • Generation of block, call, clinic, and attending schedules using Thrawn's optimization engine
  • Delivery of finished schedules for your program's review and approval
  • Re-optimization and revision of schedules when constraints or circumstances change

Thrawn is a scheduling service. It is not a system of record for accreditation, credentialing, payroll, or clinical care, and it does not replace your program's own review and approval of any schedule before publication.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

4. Fees and Payment

Fees for the Service are set out in your service agreement or order form with Thrawn. Unless your agreement states otherwise:

  • Fees are billed on the schedule described in your service agreement
  • Fees are non-refundable except as expressly stated in that agreement
  • Thrawn may change its fees on renewal with prior written notice

5. Your Data

5.1 Ownership

You retain all ownership rights to the data you provide to the Service ("Your Data"), including your program's scheduling constraints and the schedules generated from them. Thrawn does not claim ownership of Your Data.

5.2 License

By providing Your Data, you grant Thrawn a limited, non-exclusive license to process, store, and transmit Your Data solely for the purpose of providing the Service to you.

5.3 Your Responsibilities

You are responsible for the accuracy and completeness of the constraints you provide, and for confirming that you are authorized to share resident, fellow, and faculty information with Thrawn. Thrawn's Service is designed to schedule clinicians; you agree not to submit patient records or protected health information (PHI) through the Service.

5.4 Security

We implement industry-standard security measures, including encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access controls, and logged access to program data.

6. Intellectual Property

All intellectual property rights in the Service (including software, algorithms, designs, and documentation) are owned by Thrawn. These Terms do not grant you any rights to use Thrawn's trademarks, logos, or brand features without prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Provide false, misleading, or fraudulent data
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Access the Service through automated means (bots, scrapers) without authorization

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRAWN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Thrawn generates schedules from the constraints you provide. Thrawn does not warrant that:

  • Any schedule will satisfy every preference or request submitted
  • The Service will be uninterrupted or error-free
  • The Service will satisfy your program's accreditation, regulatory, institutional, or collective bargaining obligations

Compliance rules, including ACGME duty hour rules, are applied as constraints based on the information you provide. You remain responsible for reviewing, approving, and publishing your schedules, and for your program's compliance with all applicable accreditation and regulatory requirements. Thrawn is not a substitute for that review.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRAWN'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO THRAWN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL THRAWN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Thrawn and its officers, directors, employees, and agents from any claims, losses, or damages arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • The accuracy and completeness of Your Data

11. Termination

Either party may terminate these Terms at any time with 30 days' written notice. Thrawn may suspend or terminate your access immediately if you breach these Terms.

Upon termination:

  • Your right to use the Service ceases immediately
  • Thrawn will complete any schedules already in progress for the current scheduling period, unless your agreement states otherwise
  • You may request export of Your Data within 30 days of termination

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
